TAX

• KENDALL SQUARE INVESTMENT on the tax aspects of the acquisition of an Amazon warehouse facility in Dobroviz, the Czech Republic from AEW
• ARCAPITA BANK on the tax aspects of a number of restructuring projects optimising the real estate portfolio in Slovakia, including mergers and demergers, real estate tax, corporate tax and VAT aspects of such reorganisations
• BALLYMORE PROPERTIES on the tax aspects of the acquisition of land and the EUR 300 million development of retail, commercial and residential premises and a business centre, including international tax structures, local VAT issues and exit strategy

INFRASTRUCTURE & PROJECTS

• METROSTAV, the largest Czech construction company, on all matters related to its participation in the Slovak tender for the design, construction, financing, operation and maintenance of the prison facility Rimavská Sobota
• VINCI CONCESSIONS and MERIDIAM INFRASTRUCTURE during the participation in the tender for the D4/R7 Highway PPP project in Slovakia and on all related public procurement issues, corporate agenda, the establishment of the project company and the set-up of contractual relationships (D&B, O&M, SHA), including the analysis of state aid and tax risks related to the project financing
• VINCI CONCESSIONS and MERIDIAM INFRASTRUCTURE on the operation of the R1 Expressway, the first Slovak road PPP project, valued at EUR 1.2 billion; ongoing advice on a wide range of commercial contracts, operation and public procurement issues, liaising with the Public Authority, as well as in relation to the participation of the same consortium in the D4/R7 Bratislava bypass tender

M&A AND CORPORATE

• BIOSYNTH, a Swiss manufacturer of chemicals and APIs, on the acquisition of the Slovak manufacturing company TauChem and on its subsequent restructuring
• E.ON on the sale of a state-of-the art CCGT power plant to the regional power producer and distributor Západoslovenská energetika (ZSE), in which the Slovak state holds a 51% stake
• NN GROUP on the acquisition of Aegon insurance companies in Slovakia and the Czech Republic, including merger control approval in both countries

AUTOMOTIVE & INDUSTRIALS

• A GLOBAL AUTOMOTIVE MANUFACTURER on matters related to their newly set-up Slovak subsidiary concerning compliance with Slovak labour legislation and its impact on state aid granted to the manufacturing facility in Slovakia
• HYUNDAI MOTOR COMPANY on the acquisition of network of authorised dealers and repairers in the Czech Republic and Slovakia from the local entities controlled by Autobinck group
• ILLINOIS TOOL WORKS, a Fortune 500 company producing engineered fasteners and components, equipment and consumable systems, on all Czech and Slovak aspects of the global acquisition of engineered fasteners and components business from ZF TRW Automotive
