Arias is pleased to announce its role as local counsel in Costa Rica and Honduras to FMO, the Dutch Entrepreneurial Development Bank, in financing Volcafe, a leading global green coffee merchant, up to 23 million US dollars. The financing will support the working capital needed to source and commerce coffee.
Our team assisted FMO in structuring the loan and security documents, such as the mortgage deed, promissory notes, and collateral agency agreement. A global financing structure has been established, including creating a first-lien mortgage in Costa Rica. This mortgage served as collateral, ensuring the lender’s priority claim over the assets in the event of default.
The team that led the transaction was:
- Diego Gallegos, Partner, Costa Rica
- Mario Agüero, Partner, Honduras
- Arianne Silva, Senior Associate, Costa Rica
- Mariana Garcia, Paralegal, Costa Rica
Volcafe is one of the major coffee producers and distributors globally. We are honored to participate in a deal with such a significant impact for local producers. The loan is aligned with FMO’s development and environmental goals, directly impacting the coffee producers that Volcafe supports.
